Bulk SMS Platform Service Agreement

1. Introduction and Acceptance

Welcome to OneClickSMS, a comprehensive bulk SMS messaging platform. These Terms and Conditions ("Terms") govern your access to and use of our SMS messaging services, website, and related applications (collectively, the "Service"). By registering for an account, accessing, or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our Service. We reserve the right to modify these Terms at any time, and your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Account Registration and Responsibilities

Account Creation: To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Verification: We may require email verification or additional identity verification for account security and compliance purposes. Unverified accounts may have limited functionality.
Account Security: You must immediately notify us of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Account Ownership: Accounts are non-transferable. You may not share, sell, or transfer your account to another party without our written consent.

3. SMS Service Terms

Service Description

Our platform enables you to send bulk SMS messages to recipients worldwide. The Service includes features such as contact management, message templates, scheduling, delivery reports, API access, and analytics.

Service Availability and Limitations:
  • SMS delivery is subject to carrier network availability and recipient phone number validity.
  • We do not guarantee 100% delivery rates, as delivery depends on various factors including carrier policies, network conditions, and recipient device status.
  • Message delivery times may vary based on destination country, carrier, and network conditions.
  • We reserve the right to throttle or limit message sending rates to prevent abuse and ensure service quality.
Message Format

Standard SMS messages are limited to 160 characters. Messages exceeding this limit will be split into multiple parts and charged accordingly. Unicode characters (emojis, special characters) may reduce the character limit per message part.

4. Prohibited Content and Activities

Strictly Prohibited

You agree NOT to use our Service to send messages containing or related to:

  • Spam, unsolicited commercial messages, or phishing attempts
  • Illegal content or activities, including fraud, scams, or criminal activities
  • Harassment, threats, or abusive content
  • Adult content, pornography, or sexually explicit material
  • Hate speech, discrimination, or content promoting violence
  • Malware, viruses, or malicious code
  • Content violating intellectual property rights
  • Gambling or betting services (where prohibited by law)
  • Alcohol or tobacco promotion (where restricted)
  • Any content violating applicable laws or regulations
Consequences of Violation: Violation of these prohibitions may result in immediate account suspension or termination, legal action, and reporting to relevant authorities. You will be held liable for all damages and costs resulting from such violations.

5. Consent and Regulatory Compliance

Recipient Consent: You must obtain explicit, verifiable consent from all message recipients before sending SMS messages. You are responsible for maintaining records of consent and honoring opt-out requests immediately.
Opt-Out Mechanism: All marketing messages must include clear opt-out instructions (e.g., "Reply STOP to unsubscribe"). Transactional messages may be exempt from opt-out requirements but must comply with applicable regulations.
Regulatory Compliance: You must comply with all applicable laws and regulations, including but not limited to the Tanzania Communications Regulatory Authority (TCRA) regulations, Tanzania Communications Act, Personal Data Protection Act, and local telecommunications regulations in your jurisdiction and recipients' jurisdictions.
Do Not Call Lists: You must respect national and regional Do Not Call (DNC) registries and ensure recipients are not on such lists before sending commercial messages.
International Compliance

When sending messages internationally, you are responsible for compliance with destination country regulations, including data protection laws, telecommunications rules, and content restrictions.

6. Pricing, Billing, and Credits

Pricing Structure:
  • SMS pricing varies by destination country and message type (standard, premium, or international). Current rates are displayed in your account dashboard.
  • We reserve the right to modify pricing with 30 days' advance notice. Continued use after notice constitutes acceptance of new pricing.
  • Credits are purchased in advance and deducted per message sent, regardless of delivery status (except for confirmed failed deliveries).
  • Multi-part messages (messages exceeding 160 characters) are charged per 160-character segment.
Billing Terms:
Payment Methods: We accept various payment methods including credit cards, bank transfers, and other methods as specified in your account. All payments must be made in the currency specified.
Refund Policy: Credits are generally non-refundable. Refunds may be considered on a case-by-case basis for service failures or errors on our part. Unused credits may expire according to your plan terms.
Account Balance: You are responsible for maintaining sufficient credits for your messaging needs. Accounts with insufficient credits may be unable to send messages until credits are replenished.

7. Delivery Reports and Analytics

We provide delivery reports and analytics through your account dashboard and API. These reports include delivery status, timestamps, and other relevant metrics.

Delivery Status: Delivery reports indicate "Delivered," "Failed," "Pending," or "Rejected" status. Status updates may be delayed due to carrier reporting. Final delivery status may take up to 48 hours to update.
Report Accuracy: While we strive for accuracy, delivery reports are based on carrier-provided data and may not reflect actual recipient receipt or reading of messages.
Data Retention: Delivery reports and analytics data are retained according to our data retention policy. Historical data may be archived or deleted after a specified period.

8. API Access and Integration

We provide API access for programmatic integration with our Service. API usage is subject to the following terms:

  • API credentials are confidential and must not be shared or exposed publicly.
  • API rate limits apply and may vary by plan. Excessive API usage may result in throttling or temporary suspension.
  • You are responsible for securing your API integrations and preventing unauthorized access.
  • We reserve the right to modify, deprecate, or discontinue API endpoints with reasonable notice.
  • Misuse of the API, including attempts to circumvent rate limits or abuse the system, may result in immediate termination.

9. Privacy and Data Protection

Your privacy and data protection are important to us. Our collection, use, and protection of your data are governed by our Privacy Policy, which is incorporated into these Terms by reference.

Your Data: You retain ownership of your contact lists and message content. We process this data solely to provide the Service and do not use your contact data for our own marketing purposes without consent.
Data Security: We implement industry-standard security measures to protect your data. However, no system is 100% secure, and you acknowledge inherent risks in data transmission and storage.
Recipient Data: You are responsible for ensuring you have legal basis and consent to process recipient phone numbers and personal data in compliance with applicable data protection laws, including Tanzania's Personal Data Protection Act and TCRA regulations.
Data Breaches: In the event of a data breach affecting your data, we will notify you and relevant authorities as required by law.

10. Intellectual Property Rights

Service Ownership: All rights, title, and interest in the Service, including software, trademarks, logos, and content, remain our exclusive property or that of our licensors.
Your Content: You retain ownership of your message content and contact data. By using the Service, you grant us a limited license to use, process, and transmit your content solely to provide the Service.
Prohibited Use: You may not copy, modify, distribute, reverse engineer, or create derivative works of our Service or software without explicit written permission.

11. Limitation of Liability and Disclaimers

Service Disclaimers:
  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
  • We do not guarantee uninterrupted, error-free, or secure operation of the Service.
  • We are not responsible for carrier network failures, message delivery failures, or recipient device issues.
  • We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Liability Limitation:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, regardless of the theory of liability.

12. Account Termination

Termination by You:

You may terminate your account at any time by contacting our support team or using account deletion features. Upon termination, your access to the Service will cease, and unused credits may be forfeited unless otherwise specified.

Termination by Us:

We may suspend or terminate your account immediately, without notice, if:

  • You violate these Terms or our policies
  • You engage in fraudulent, illegal, or abusive activities
  • Your account remains inactive for an extended period
  • We are required to do so by law or regulatory authority
  • You fail to pay fees when due
Data Retention After Termination

Upon termination, we may retain your data for a reasonable period as required by law or for legitimate business purposes. You may request data deletion subject to our data retention policies and legal obligations.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before they take effect.

Your continued use of the Service after modifications become effective constitutes acceptance of the updated Terms. If you do not agree to the modifications, you must stop using the Service and terminate your account.
